Exhibit B

One office,
one record.

NFG ADVISORS, LLC exists to hold and administer — not to speculate. Each subsidiary or holding entity under the parent operates on its own balance sheet, with its own officers and its own obligations; the parent's job is coherence: one set of books, one governance calendar, one record.

From the Midvale headquarters the group maintains corporate offices, district and regional functions, and subsidiary management — the unglamorous machinery that keeps ownership structures legible to auditors, regulators and counterparties.

The holding company model rewards discipline over activity. What we don't do is as deliberate as what we do: no trading desks, no retail operations, no products — structure, kept properly.

"A holding company earns its keep in the minutes, the filings and the records nobody sees."

Exhibit C

By-laws of the office.

Three articles that govern how the group runs.

Sec. 1 · Separation

Each entity, its own books

Subsidiaries keep independent accounts, officers and obligations. The parent consolidates — it does not commingle.

Statutory & internal
Sec. 2 · Cadence

One governance calendar

Board meetings, filings, renewals and audits run on a single group calendar administered from the Midvale office — nothing lapses unnoticed.

Annual cycle
Sec. 3 · Record

Minutes, not memory

Decisions are documented at the time they're made — resolutions, consents and registers kept current and retrievable.
